Terms of Service

1. Acceptance of Terms

By accessing or using the Sentinel Device Manager platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

Sentinel provides a remote monitoring and management (RMM) platform that enables organisations to monitor, manage, and deploy software to Windows devices. The Service includes a web-based dashboard, a Windows agent application, and associated APIs.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

4. Subscription and Billing

  • Plans: The Service is offered under tiered subscription plans (Starter, Professional, Business, Enterprise) with varying device limits and pricing.
  • Free Trial: New subscriptions include a 1-month free trial with full functionality. No charges are incurred during the trial period.
  • Billing: All plans are billed annually in US Dollars (USD). Payment is processed via Stripe. You authorise us to charge your payment method at the start of each billing period.
  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided.
  • Device Limits: Your plan includes a maximum number of enrolled devices. If you exceed your limit, we will contact you to arrange an upgrade. We will not disable enrolled devices without notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Deploy malicious software or scripts through the platform
  • Attempt to gain unauthorised access to other organisations' data or systems
  • Use the Service to monitor devices without proper authorisation from device owners/users
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or sublicense the Service without written consent
  • Interfere with or disrupt the Service or its infrastructure

6. Data Ownership

You retain all ownership rights to the data you submit to or collect through the Service. We do not claim ownership of your device data, telemetry, or organisational information. We use your data solely to provide and improve the Service as described in our Privacy Policy.

7. Service Level

We strive to maintain 99.9% uptime for the Service. Planned maintenance windows will be communicated in advance. We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

8. Agent Software

The Sentinel agent runs as a Windows Service on enrolled devices with LocalSystem privileges. By deploying the agent, you acknowledge and accept that:

  • The agent collects hardware and software inventory information
  • The agent reports real-time performance metrics (CPU, memory, disk, network)
  • Administrators can remotely execute scripts and deploy software via the agent
  • The agent maintains a persistent connection to the Sentinel platform
  • You are responsible for compliance with applicable privacy laws regarding device monitoring

9. Intellectual Property

The Service, including its source code, design, logos, and documentation, is owned by Sentinel and protected by copyright and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Sentinel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or business opportunities, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Sentinel from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Termination

We may suspend or terminate your access to the Service if you violate these Terms or fail to pay your subscription fees. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow for data export, after which it will be permanently deleted.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service dashboard at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
